You hereby consent to the exchange of information and documents between Us electronically over the Internet and that this electronic Agreement shall be the equivalent of a written paper agreement between Us.
- Job Listings. The JobShelf may make available standardized job listings and other job-related contents for franchised businesses, by linking the job listings to third-party websites (“Job Listings”), through the JobShelf’s platform or otherwise through the Site. Job Listings are created and provided by Indeed Ireland Operations (“Indeed”) over whom the JobShelf exercises no control; you acknowledge and understand that we have no control over Job Listings. Except for certain sponsored, featured or paid placements, the Job Listings contained on, or linked from, the Site are indexed or posted in an automated manner. The JobShelf does not have any obligation to screen any Job Listing and may exclude or remove any Job Listing from the Site for any or no reason. We cannot confirm the accuracy or completeness of any Job Listing or other information submitted by any employer or other user, including the identity of such employer or other user. The JobShelf assumes no responsibility, and disclaims all liability, for the content, accuracy, completeness, legality, reliability, or availability of any Job Listing. You agree that the JobShelf may also provide search options to narrow down Job Listing descriptors by job type (i.e. full-time, part-time, etc.), and such job types are created independently and entirely by Indeed, and are not a direct reflection of the actual Job Listing. If you are an Employer, when you create or post a Job Listing on the Site you agree that this Agreement and all of the JobShelf’s policies, including the JobShelf Privacy Policy and Cookie Policy, apply to you and to the Job Seekers using the linked third party sites. The JobShelf is not responsible for the content of your Job Listing, and the JobShelf does not guarantee timely delivery or that there will be no mistakes in the transmission of the data. You agree that the JobShelf assumes no responsibility for the communications between you and the Job Seeker, which communications are yours’ and the Job Seekers’ sole responsibility. You are responsible for the contents of any Job Listings that you create, any Job Listings that you post. You agree that the JobShelf may reject or remove any Job Listing for any or no reason. You shall indemnify, defend and hold harmless the JobShelf, its agents, affiliates, and licensors from any third-party claim or liability (including without limitation reasonable legal fees) arising out of any Job Listing created by you, or posted by you.
- External Sites. The Site contains links to other sites on the Internet such as Indeed which is owned and/or operated by a third-party vendor and other third parties (the “External Sites”). You acknowledge that the JobShelf is not responsible or liable for any such third parties or for the availability of, or the materials located on or through, the External Sites. You should contact the site administrator or webmaster for the applicable External Site if you have any concerns regarding such links or the materials located on an External Site. In addition, the JobShelf may provide you with links to certain third party sites that offer you services for your use or benefit. We may stop offering any such third party sites or services at any time. If you choose to use such third party sites or services, you enter into an agreement with such third party alone at your own risk. When entering into an agreement with such parties, you are giving them your data directly and your rights and their obligations are determined by their privacy policies and terms of service. We are not responsible for any content or services provided by these third parties, and disclaim all liability from anything that may occur when you utilize such third parties. We are additionally not responsible for any payment that may be asked of you by such third party. You will be notified on the site that these are third party sites and services, and not the JobShelf.
- Ownership and Copyright. - Permitted Use. The JobShelf hereby grants to You a personal, non-transferable and non-exclusive licence to access, read and download one copy of the Content. The JobShelf’s Site is for your non-commercial use only. If you wish to make commercial use of the Site, or if you wish to purchase the JobShelf services that utilize the Site, you must have a prior written agreement with the JobShelf to do so, or have accepted the JobShelf’s online terms of service. The JobShelf shall not be subject to any obligations of confidentiality regarding any such information unless specifically agreed to by the JobShelf in writing or required by law. You represent and warrant that you have the right to grant the licence set out above.
- Personal Information. The JobShelf may from time to time, but is not obligated to, monitor your use of the website and collect, store, use and disclose to Indeed personal information about You to create Your user profile and to help Job Seekers using Indeed to obtain career and company information, facilitate communication, discuss ways to make career decisions, and to let users know of jobs. - Termination. This Agreement is effective until terminated by the JobShelf, with or without cause, in the JobShelf’s sole and unfettered discretion. The JobShelf may terminate this Agreement without notice to You if You fail to comply with any of its terms. Any such termination by the JobShelf shall be in addition to and without prejudice to such rights and remedies as may be available to the JobShelf, including injunction and other equitable remedies.The disclaimers, limitations on liability, ownership, termination, interpretation, your licence to the JobShelf, your warranty and the indemnity provisions of this Agreement shall survive the termination or expiry of this Agreement.
- Indemnity. You agree at all times to indemnify, defend and hold harmless the JobShelf, its agents, suppliers, affiliates and their respective directors and employees against all actions, proceedings, costs, claims, damages, demands, liabilities and expenses whatsoever (including legal and other fees and disbursements) sustained, incurred or paid by the JobShelf directly or indirectly in respect of: (i) any information or other content You provide on or through this website or which is sent to the JobShelf by email or other correspondence; or (ii) Your use or misuse of the Content or this website, including without limitation infringement claims.
- Governing Law. The JobShelf, this website and the Content (excluding linked websites or content) are physically located within the Province of Ontario, Canada. - Amendment and Waiver. The JobShelf reserves the right, in its discretion, to amend this Agreement at any time by posting amendments on this website. You are responsible for periodically reviewing the amendments on this website, and You are deemed to be aware of such amendments. If You do not agree to the amended terms and conditions, you shall immediately stop using this website. Access to this website or use of this website after any amendments have been posted shall constitute Your acknowledgement and acceptance of the amended terms and conditions. No supplement, modification or amendment to this Agreement and no waiver of any provision of this Agreement shall be binding on the JobShelf unless executed by the JobShelf in writing. No waiver of any of the provisions of this Agreement shall be deemed to be or shall constitute a waiver of any other provision (whether or not similar) nor shall such waiver constitute a continuing waiver unless otherwise expressly provided.
- Severability. Any provision of this Agreement which is held by a court of competent jurisdiction to be illegal, invalid or unenforceable in such jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such illegality, invalidity or unenforceability and shall otherwise be enforced to the maximum extent permitted by law, all without affecting the remaining provisions of this Agreement or affecting the legality, validity or enforceability of such provision in any other jurisdiction.
- Enurement. This Agreement shall inure to the benefit of and be binding upon each of us and our respective successors and permitted assigns. You acknowledge having read this Agreement before accepting it, having the authority to accept this Agreement and having received a copy of this Agreement.
